Berhad incorporation & conversion

Incorporate a public limited company (Berhad), or convert your existing Sdn Bhd when you outgrow the 50-member limit or plan to raise capital from the public.

When a Berhad makes sense

A Sdn Bhd is limited to 50 members. Businesses expanding their shareholder base, preparing for investment or planning a listing on Bursa Malaysia typically incorporate or convert to a Berhad.

Unlike a Sdn Bhd, a newly incorporated Berhad may need to obtain clearance from SSM before it can commence business. We plan this step into your timeline from day one.

What you need

  • At least two directors aged 18 or above, with at least one ordinarily residing in Malaysia.
  • At least one shareholder — individual or corporate.
  • A qualified company secretary and a registered office in Malaysia.
  • What we handle

  • New Berhad incorporation or conversion of an existing Sdn Bhd.
  • Constitution drafting and member resolutions.
  • Lodgements with SSM and post-incorporation compliance.
  • Ongoing company secretarial support suited to a public company.
  • Planning to scale your shareholder base?

We will walk you through conversion, timing and the compliance that follows.
